Terms and Conditions

1. Definitions

• “Platform” refers to the Prepado website (www.prepado.in), mobile application, and all related products and services offered by Prepado Solutions Private Limited.
• “Fresher” refers to a candidate user — a new graduate or early-career individual using the Platform to access simulations and explore job opportunities.
• “Screener” refers to an experienced professional registered on the Platform to evaluate and score Fresher simulation submissions.
• “Company” refers to a business entity registered on the Platform to discover, assess, and recruit talent.
• “Simulation” refers to a structured, role-based scenario delivered through the Platform to evaluate a Fresher's professional skills, decision-making, and capabilities.
• “Prepado Score” refers to the verified performance score generated upon successful completion of assessments, valid for 12 months from the date of completion.
• “Content” refers to all simulation materials, tasks, datasets, assessment questions, scripts, dialogue, and resources made available on the Platform.
• “User” refers to any individual or entity accessing or using the Platform, including Freshers, Screeners, and Companies.

2. Eligibility and Account Registration

• You must be at least 18 years of age to register on or use the Platform.
• You must provide accurate, current, and complete information during registration and keep your account information updated at all times.
• You are solely responsible for maintaining the confidentiality of your account credentials. You must not share your login details with any other person.
• Each individual or entity may maintain only one account on the Platform. Duplicate accounts may be suspended or permanently deleted without notice.
• Prepado reserves the right to refuse registration, suspend, or terminate any account at its sole discretion, with or without cause.

3. User Roles and Obligations

3.1 Freshers

• Must complete all simulations and assessments independently and without any external assistance, tools, or resources unless explicitly permitted.
• Must not share, reproduce, distribute, or disclose any simulation content, tasks, datasets, or proprietary materials to any third party.
• Must not attempt to manipulate, falsify, game, or circumvent any assessment, scoring mechanism, or anti-cheat system.
• Must not submit false, misleading, or inaccurate profile or qualification information.
• Acknowledge and accept that simulation responses and results may be reviewed by Screeners, and upon application submission, by Companies to whom the application is directed.

3.2 Screeners

• Must evaluate all assigned simulation submissions objectively and solely on the basis of the rubrics, guidelines, and scoring criteria provided by Prepado.
• Must maintain strict confidentiality of all simulation content and Fresher submissions reviewed in the course of their role.
• Must not engage in discriminatory evaluation on the basis of any personal characteristic unrelated to job performance.
• Must not retain, copy, or use any Fresher data or simulation content beyond what is required for their evaluation responsibilities.
• Are additionally bound by a separate Screener Service Agreement, the terms of which apply alongside these Terms.

3.3 Companies

• May only access Fresher data in respect of candidates who have submitted an application to their specific role listing, or who have explicitly activated the Profile Discovery setting.
• Must use Fresher data exclusively for internal recruitment and hiring evaluation purposes and for no other purpose whatsoever.
• Must not share, sell, transfer, or disclose Fresher data to any third party outside of their direct internal hiring process.
• Must comply with all applicable data protection and privacy laws in their handling of Fresher data received through the Platform.
• Are additionally bound by a separate Company Platform Agreement, the terms of which apply alongside these Terms.

4. Simulation Integrity and Anti-Cheat Policy

Prepado upholds a zero-tolerance policy toward any form of assessment fraud or dishonesty. The following conduct constitutes a violation of these Terms:

• Using any external tool, resource, reference material, or third-party assistance during a proctored simulation session without explicit prior authorisation from Prepado.
• Sharing, reproducing, or disclosing simulation questions, tasks, datasets, answers, or any assessment content with any other person or platform.
• Attempting to reverse-engineer, decode, or derive the scoring methodology or evaluation criteria of any simulation.
• Tampering with, disabling, or circumventing any monitoring system, including webcam proctoring, eye-tracking, or behavioural analytics tools.
• Colluding with another user to gain an unfair advantage in any assessment.

Violations may result in immediate disqualification, invalidation of assessment scores, suspension or permanent termination of your account, and a prohibition on re-registration. Prepado reserves the right to pursue legal remedies in cases of serious, deliberate, or repeated violations.

5. Prepado Score — Validity, Use, and Limitations

• A Prepado Score is generated upon successful and verified completion of the relevant assessments and is valid for a period of 12 months from the date of completion.
• Scores expire automatically upon the lapse of the 12-month validity period. A new valid score requires the user to retake the relevant assessment.
• Prepado Scores reflect a candidate's performance on specific simulations conducted on the Platform and do not constitute a guarantee, warranty, or representation regarding future employment outcomes.
• Prepado does not warrant, represent, or guarantee that any Company will consider, accept, act upon, or offer employment on the basis of a Prepado Score.
• Prepado reserves the right to invalidate a score if evidence of fraud, misconduct, or a violation of these Terms is identified after the score has been issued.

6. Intellectual Property

All content on the Platform — including but not limited to simulations, scenario scripts, datasets, assessment questions, tasks, psychometric instruments, dialogue, UI elements, brand assets, logos, and software — is the exclusive intellectual property of Prepado Solutions Private Limited and is protected under applicable Indian and international intellectual property laws, including the Copyright Act, 1957, and the Trade Marks Act, 1999.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for its intended purposes as described in these Terms. You expressly agree not to:

• Copy, reproduce, republish, upload, transmit, or distribute any simulation content or Platform material in any form.
• Reverse-engineer, decompile, disassemble, or attempt to extract the source code, algorithms, or underlying data of the Platform.
• Use any Platform content for commercial purposes without our prior written consent.
• Create derivative works based on any Platform content.

Any unauthorised use of Prepado's intellectual property may result in account termination and legal action.

7. Payments and Credits

• Certain features of the Platform may require payment, including but not limited to simulation credits for Freshers and subscription or per-use plans for Companies.
• All payments made on the Platform are non-refundable, except to the extent required by applicable Indian consumer protection law.
• Credits purchased on the Platform are non-transferable, have no monetary or cash equivalent value, and may not be exchanged for currency.
• Prepado reserves the right to modify its pricing, plans, and credit structures at any time, with reasonable prior notice to affected users.

8. Prohibited Conduct

In addition to the obligations set out elsewhere in these Terms, you agree not to:

• Use the Platform for any unlawful, fraudulent, harmful, or unauthorised purpose.
• Harass, threaten, abuse, defame, or harm any other user of the Platform.
• Upload, transmit, or introduce any malware, viruses, trojan horses, or other malicious or harmful code.
• Attempt to gain unauthorised access to another user's account, or to any server, system, or network associated with the Platform.
• Scrape, crawl, mine, or otherwise extract data from the Platform through automated means without our express written consent.
• Misrepresent your identity, qualifications, professional experience, or organisational affiliation on the Platform.
• Engage in any conduct that disrupts, impairs, or overburdens the Platform's infrastructure or systems.

9. Disclaimers and Limitation of Liability

The Platform and all its content are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied. Prepado Solutions Private Limited expressly disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by applicable Indian law, Prepado Solutions Private Limited shall not be liable for:

• Any indirect, incidental, special, consequential, punitive, or exemplary damages of any kind.
• Any loss of data, loss of revenue, loss of business opportunity, or loss of employment opportunity arising from or in connection with your use of the Platform.
• Any actions, decisions, or omissions by Companies based on Prepado Scores or simulation results.
• Any service interruptions, technical errors, system outages, or data loss arising from events beyond our reasonable control.

Prepado Solutions Private Limited's total aggregate liability to any user for any and all claims arising under or in connection with these Terms or the Platform shall not exceed the total amount paid by that user to Prepado in the 12 months immediately preceding the claim, or INR 5,000 (Indian Rupees Five Thousand), whichever is the greater amount.

10. Indemnification

You agree to fully indemnify, defend, and hold harmless Prepado Solutions Private Limited and its directors, officers, employees, agents, and representatives from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your access to or use of the Platform; (b) your breach of any provision of these Terms; (c) any false, misleading, or inaccurate information provided by you; or (d) your violation of any applicable law or the rights of any third party.

11. Termination

• Prepado may suspend or permanently terminate your access to the Platform at any time, with or without prior notice, for any breach of these Terms or for any other legitimate operational or legal reason.
• You may terminate your account at any time by using the account deletion feature within your account settings or by writing to team@prepado.in.
• Upon termination of your account, your right to access and use the Platform ceases immediately. Provisions of these Terms relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law shall survive termination.

12. Modifications to the Platform and Terms

Prepado reserves the right to modify, suspend, or permanently discontinue any feature, functionality, or aspect of the Platform at any time, with or without notice. We may also revise these Terms from time to time. The revised Terms will be effective upon posting on the Platform. We will provide reasonable notice of material changes via email or in-platform notification. Your continued use of the Platform after revised Terms are posted constitutes your acceptance of those changes.

13. Governing Law and Dispute Resolution

These Terms and Conditions are governed by and shall be construed in accordance with the laws of India. Any dispute, claim, or controversy arising out of or in connection with these Terms, the Platform, or any breach, termination, or validity thereof shall be subject to the exclusive jurisdiction of the competent courts in Mumbai, Maharashtra, India.

Prior to initiating any formal legal proceedings, users are encouraged to first seek resolution by contacting our team at team@prepado.in. We are committed to resolving concerns in a fair and timely manner.

14. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, void, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and shall not affect the validity and enforceability of the remaining provisions, which shall continue in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy and Data Usage Policy published on the Platform, constitute the entire agreement between you and Prepado Solutions Private Limited with respect to your use of the Platform, and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
